PrismDesk End User License Agreement (EULA)
===========================================
Version 1.0 - Effective 14 October 2026
This agreement is between you and Masato Okumura, a sole proprietor trading
as "async0x4c", located in Tokyo, Japan ("Licensor", "we", "us"). It governs
your use of the PrismDesk Windows host application, the PrismDesk virtual
display driver, the PrismDesk virtual camera and the PrismDesk Android client
(together, the "Software").
By installing or using the Software you accept this agreement. If you do not
accept it, do not install or use the Software.
1. LICENSE GRANT
1.1 Licensor grants you a non-exclusive, non-transferable, revocable
licence to install and use the Software in accordance with this
agreement.
1.2 Free edition. The free edition of the Software may be used, without
charge, on any number of computers and devices, for personal or
commercial purposes.
1.3 Pro licence. A Pro licence key entitles one named user to unlock the
features designated as "Pro" in the Software on up to three (3) Windows
computers that the same person uses, together with any number of
PrismDesk Android client devices connected to those computers.
1.4 Licence keys are personal. You may not share, publish, resell,
sublicense or otherwise make a licence key available to others. Use by
more than one person, for example within a team or an organisation,
requires one licence key per user.
1.5 Licence keys are verified offline on your own computer. Activation does
not contact Licensor's servers, and the Software does not require an
internet connection to keep working.
2. SELLER OF RECORD
Pro licences are sold by Polar Software, Inc. acting as the merchant and
seller of record. Your purchase contract, invoice, applicable taxes and
refunds are handled by them under their own terms
(https://polar.sh/legal/terms). This agreement governs your use of the
Software only. See also the PrismDesk Refund Policy

3. UPDATES AND VERSIONS
A Pro licence key includes all updates to PrismDesk version 1.x. A future
major version may require a new or an upgrade licence. Licensor is not
obliged to provide updates, and may change or discontinue features.
4. RESTRICTIONS
You may not:
(a) reverse engineer, decompile or disassemble the Software, except to the
extent that applicable law expressly permits it despite this
restriction;
(b) circumvent, disable or tamper with the licence verification, or use a
licence key you did not lawfully obtain;
(c) remove or alter any copyright, trademark or other notice in the
Software, including THIRD_PARTY_NOTICES.txt;
(d) redistribute, rent, lease or host the Software, except by linking to
the official download page at https://prismdesk.app.
Nothing in this section restricts your rights under the third-party
licences described in section 5.
5. THIRD-PARTY SOFTWARE
The Software includes open-source and other third-party components. They
are listed, with their licences reproduced in full, in
THIRD_PARTY_NOTICES.txt (installed next to the application and published at
https://prismdesk.app/licenses).
Those components are licensed to you under their own terms, which prevail
over this agreement for those components. Nothing in this agreement limits
or modifies the rights, permissions or disclaimers granted by those
licences.
6. CHANGES TO YOUR SYSTEM
6.1 The Windows host installs a virtual display driver and a virtual camera,
creates a Windows Firewall rule, and requires administrator rights.
Installing or removing a display driver causes Windows to re-enumerate
your displays; window positions and display arrangement may change.
6.2 You are responsible for backing up your data before installation.
6.3 Uninstalling the Software removes the driver, the virtual camera
registration, the firewall rule and the start-up task. The uninstaller
offers to delete your settings and diagnostic logs as well.
7. YOUR CONTENT AND YOUR NETWORK
7.1 Screen, audio, camera and input data travel directly between your own
devices over your own network. Licensor operates no server that
receives that data.
7.2 You are responsible for the network you use the Software on, and for
the security of the devices you connect. See the PrismDesk Privacy
Policy (https://prismdesk.app/privacy).
8. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF
ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE
UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ANY PARTICULAR HARDWARE,
DISPLAY, GPU OR ANDROID DEVICE.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE
LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE SHALL NOT EXCEED THE
AMOUNT YOU PAID FOR YOUR LICENCE, AND LICENSOR SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS,
LOSS OF DATA, OR BUSINESS INTERRUPTION.
Nothing in this agreement excludes or limits liability for death or
personal injury caused by negligence, for fraud or fraudulent
misrepresentation, for gross negligence or wilful misconduct, or for any
other liability that cannot lawfully be excluded or limited.
10. CONSUMER RIGHTS
If you are a consumer, you keep all mandatory rights you have under the
consumer-protection laws of your country of residence, including those of
Japan, the European Union, the United Kingdom and Australia. Where this
agreement conflicts with such rights, those rights prevail.
11. EXPORT CONTROL
You agree to comply with the export-control laws of Japan and of your own
country, and not to use the Software where such use is prohibited.
12. TERM AND TERMINATION
This licence takes effect when you install the Software and continues until
terminated. It terminates automatically if you materially breach it. On
termination you must stop using and uninstall the Software. Sections 5, 8,
9, 10 and 13 survive termination.
13. GOVERNING LAW AND JURISDICTION
This agreement is governed by the laws of Japan. The Tokyo District Court
shall have non-exclusive jurisdiction as the court of first instance,
without prejudice to section 10.
14. ENTIRE AGREEMENT AND CHANGES
This agreement is the entire agreement between you and Licensor about the
Software. If any provision is held unenforceable, the remainder stays in
force. Licensor may publish a revised version for future releases; the
version accepted at installation governs the copy you installed.
